2. Services Provided

Website Design & Development

Leadmore Web Design provides professional website design and development services, including but not limited to custom website design, responsive web development, content management system (CMS) integration, e-commerce solutions, and website maintenance.

2.2

Scope of Work

The specifics of the project (such as deliverables, timelines, and costs) will be outlined in the project proposal or contract. Any changes to the scope of work must be agreed upon in writing by both parties.

2.3

Client Responsibilities

Clients are responsible for providing accurate information, including content, images, and any other materials required for the project. Any delays in providing necessary information may affect the timeline of the project.

3. Payment Terms

3.1

Pricing & Payment

The fees for services will be outlined in the project proposal or contract. A deposit is typically required to begin work, with the balance due upon project completion or as specified in the contract.

3.2

Monthly Maintenance Fees

In addition to the website design and development fees, clients may be subject to monthly maintenance fees as specified in the contract. These fees cover ongoing support, updates, and security for the website.

3.3

Late Payments

If payments are not received by the due date, Leadmore Web Design reserves the right to suspend work until payment is made. Late fees may apply, as outlined in the contract.

4. Ownership & Rights

4.1

Ownership of Website

Leadmore Web Design will retain ownership of the website until the client has been with us for a minimum of 3 years. After this period, the client may request that the website be transferred into their name. At that time, Leadmore Web Design will transfer ownership, provided that all fees, including maintenance and any other outstanding charges, have been paid in full.

4.2

Licenses & Third-Party Tools

Any third-party software, themes, plugins, or other resources used in the website design may be subject to additional terms and licenses, which will be outlined in the project contract. Clients are responsible for acquiring and maintaining any required licenses.

5. Contract & Termination

5.1

Minimum Contract Term

The minimum contract term for website design and maintenance services is 12 months. Clients are required to maintain the contract for this period to ensure the continued provision of services.

5.2

Early Termination

If the client chooses to terminate the contract before the 12-month period has been completed, they will be responsible for paying the remaining balance of the monthly maintenance fees for the duration of the contract.

5.3

Termination by Leadmore Web Design

Leadmore Web Design reserves the right to terminate the project if the client fails to provide necessary materials, does not make payments on time, or breaches any of these Terms and Conditions. In such cases, the client will remain responsible for any outstanding payments.

6. Website Content & Maintenance

6.1

Client Content

Clients are solely responsible for the content they provide for the website, including text, images, logos, and other materials. Leadmore Web Design is not liable for any infringement on intellectual property rights or violations of law related to the content provided by the client.

6.2

Ongoing Maintenance

Leadmore Web Design offers website maintenance services as an additional service. The scope and terms of maintenance will be defined in a separate agreement. Maintenance fees will continue to apply for the duration of the contract.

7. Confidentiality

7.1

Confidential Information

Both parties agree to keep all sensitive or confidential information obtained during the course of the project confidential. This includes business strategies, client data, and other proprietary information.

7.2

Exceptions

This confidentiality obligation does not apply to information that is publicly available or required to be disclosed by law.

8. Limitation of Liability

8.1

Limitation of Liability

Leadmore Web Design will not be held liable for any direct, indirect, incidental, special, or consequential damages arising out of the use of our services, including any loss of data, business interruption, or loss of profits.

8.2

Website Downtime

While we strive to provide reliable and secure websites, Leadmore Web Design does not guarantee that the website will be free of interruptions, errors, or downtime. We are not responsible for any damages caused by website downtime.

9. Governing Law

These Terms and Conditions will be governed by and construed in accordance with the laws of the state or country in which Leadmore Web Design is based. Any disputes will be resolved in the competent courts of that jurisdiction.
